1. Introduction
Welcome to Pandascrow.
These Terms of Service ("Terms") govern your access to and use of Pandascrow's website, applications, APIs, escrow services, wallet services, payment solutions, invoicing tools, PayMe links, marketplaces, dispute resolution systems, and related products and services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, Refund Policy, and any additional policies referenced herein.
If you do not agree to these Terms, you must not use our Services.
2. Our Services
Pandascrow provides technology solutions that facilitate secure digital transactions between users.
Our Services may include:
- Escrow transactions
- Milestone-based payments
- Multi-party escrow arrangements
- Digital wallet services
- Currency conversion services
- Invoice generation and payment collection
- PayMe payment links
- Freelancer and business marketplaces

Pandascrow acts solely as a technology platform and neutral transaction facilitator unless expressly stated otherwise.
3. Eligibility
To use our Services, you must:
- Be at least 18 years old.
- Have the legal capacity to enter binding contracts.
- Provide accurate and complete information.
- Comply with all applicable laws and regulations.
By using the Services, you represent and warrant that you satisfy these requirements.
4. Account Registration and Security
You are responsible for:
- Maintaining the confidentiality of your credentials.
- Restricting access to your account.
- Ensuring information associated with your account remains accurate and current.
- All activities conducted through your account.
You must immediately notify Pandascrow of any unauthorized access or suspected security breach.
5. Identity Verification and Compliance
Pandascrow may require identity verification, business verification, source-of-funds verification, sanctions screening, and other compliance procedures.
You agree to provide any information reasonably requested to satisfy:
- Know Your Customer (KYC) requirements.
- Anti-Money Laundering (AML) obligations.
- Counter-Terrorism Financing (CTF) requirements.
- Fraud prevention measures.
- Regulatory obligations.
Pandascrow reserves the right to suspend, restrict, reject, or terminate accounts that fail verification or present compliance concerns.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law.
- Commit fraud or facilitate fraudulent transactions.
- Engage in money laundering.
- Finance terrorism or prohibited activities.
- Use stolen payment methods.
- Circumvent security measures.
- Infringe intellectual property rights.
- Distribute malware or harmful software.
- Sell prohibited or illegal goods and services.
- Misrepresent your identity or authority.
- Manipulate transactions or dispute processes.
Pandascrow may investigate suspected violations and take appropriate action, including account suspension or termination.
7. Escrow Services
When using escrow services:
- Parties must agree on transaction terms.
- Funds must be successfully deposited before escrow protection applies.
- Funds are held until agreed conditions are met.
- Funds may be released upon milestone completion, mutual agreement, or dispute resolution.
Pandascrow acts as a neutral facilitator and does not guarantee performance by any party.
8. Wallet Services
Pandascrow may provide wallet functionality that enables users to receive, store, transfer, convert, and withdraw funds.
Users acknowledge that:
- Wallet balances are not bank deposits.
- Wallet functionality may be subject to limits and restrictions.
- Additional verification may be required before certain transactions.
- Pandascrow may place temporary holds where required for security, compliance, or dispute resolution.
9. Currency Conversion
Where currency conversion services are available:
- Exchange rates may be provided by third parties.
- Exchange rates may fluctuate.
- Conversion fees, spreads, or charges may apply.
- Pandascrow does not guarantee future exchange rates.
Users are responsible for reviewing applicable rates before completing transactions.
10. PandaWork Marketplace
Pandascrow may provide marketplace functionality connecting freelancers, contractors, businesses, and clients.
Pandascrow:
- Is not an employer.
- Is not a recruitment agency.
- Is not a party to agreements between users.
Users are solely responsible for evaluating opportunities, qualifications, deliverables, and contractual obligations.
11. PandaStore Marketplace
Pandascrow may provide merchant and storefront services.
Merchants are solely responsible for:
- Product listings.
- Product quality.
- Delivery obligations.
- Pricing accuracy.
- Taxes and regulatory compliance.
- Warranties and guarantees.
Pandascrow does not manufacture, inspect, endorse, or guarantee listed products.
12. Fees
Certain Services may be subject to fees.
Applicable fees may include:
- Escrow fees.
- Processing fees.
- Currency conversion fees.
- Withdrawal fees.
- Marketplace fees.
- Premium service fees.
Fees are disclosed before completion of applicable transactions.
Unless otherwise stated, fees are non-refundable.
13. Disputes and Resolution If a dispute arises:
- Users should first attempt resolution directly.
- Pandascrow may facilitate mediation.
- Documentation may be requested from involved parties.
- Pandascrow may temporarily hold funds during investigations.
Pandascrow may make determinations in good faith based on available evidence.
Pandascrow's dispute process is intended to facilitate resolution and does not constitute legal or judicial proceedings.
14. AI-Assisted Dispute Resolution
Pandascrow may use artificial intelligence and automated systems to assist with dispute analysis, evidence review, risk assessment, and recommendation generation.
Users acknowledge that:
- AI-generated recommendations are advisory.
- Human reviewers may modify or override automated recommendations.
- Automated systems may not be error-free.
15. Refunds and Cancellations
Refunds and cancellations are governed by our Refund Policy.
Unfunded transactions may generally be cancelled.
Funded transactions may require mutual consent, completion of dispute procedures, or compliance review before cancellation.
16. Intellectual Property
All platform content, software, trademarks, logos, designs, and technology are owned by or licensed to Pandascrow.
You may not:
- Copy.
- Modify.
- Reverse engineer.
- Distribute.
- Commercially exploit.
Any portion of the Services without written authorization.
17. Electronic Communications
By using our Services, you consent to receive communications electronically.
Electronic notices, approvals, confirmations, agreements, signatures, and records shall have the same legal effect as physical documents and signatures to the fullest extent permitted by law.
18. Limitation of Liability
To the maximum extent permitted by law:
Pandascrow shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of the Services.
Pandascrow's aggregate liability arising from any claim shall not exceed the total fees paid to Pandascrow in connection with the relevant transaction during the six (6) months preceding the claim.
19. Indemnification
You agree to indemnify and hold harmless Pandascrow, its officers, directors, employees, affiliates, and partners from claims, losses, liabilities, damages, costs, and expenses arising from:
- Your use of the Services.
- Your violation of these Terms.
- Your violation of applicable laws.
- Disputes between users.
20. Suspension and Termination
Pandascrow may suspend, restrict, or terminate access to the Services if:
- You violate these Terms.
- Fraud or abuse is suspected.
- Regulatory obligations require action.
- Security risks are identified.
Termination does not relieve users of outstanding obligations.

23. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising from these Terms shall first be submitted to good-faith negotiation and mediation.
Where unresolved, disputes shall be resolved through arbitration in Lagos State, Nigeria.
24. Changes to These Terms
Pandascrow may modify these Terms at any time.
Updated Terms become effective upon publication unless otherwise stated.
Continued use of the Services constitutes acceptance of the revised Terms.
